1. Agreement and eligibility
These Terms of Service (the “Terms”) are an agreement between you and Noetra, a Nevada company (“Noetra,” “we,” or “us”). By accessing the Noetra web or mobile applications or related services (the “Service”), you accept these Terms. If you use the Service for a dealership or other organization (“Customer”), you represent that you may bind that Customer. Users must be at least 18 and provide accurate account information.
2. The Service
Noetra helps in-person sales teams record conversations, create transcripts, and receive AI-generated coaching, scores, and analytics. The Service is available through the web application and supported mobile distribution channels, including Android through Google Play or APK and, when available, iOS through TestFlight or the App Store. Features and availability may change.
3. Accounts and seats
Subscriptions are licensed per active user. Each person must use their own account and may not share credentials. The Customer’s organization administrator controls user access, manages active seats, and is responsible for account activity. Active seat counts synchronize to subscription billing; adding or removing active users may change the amount billed in accordance with the applicable billing cycle.
4. Recording responsibility
The Customer is solely responsible for complying with every applicable recording, wiretap, eavesdropping, privacy, and consent law. This includes laws in jurisdictions that require the consent of all parties. Before recording or uploading a conversation, the Customer must determine which laws apply and obtain every required consent from customers, employees, and any other recorded individual. Noetra provides recording and processing tools; it does not determine legal requirements, obtain consent on the Customer’s behalf, or provide a legal-compliance service.
5. Subscriptions and billing
The standard subscription is $99 per active seat per month or $990 per active seat per year. A subscription starts when payment is made. A separate Founding Dealer promotional tier may apply if offered and confirmed in the Customer’s order or account. Stripe processes payments and subscription billing. Subscriptions renew automatically for successive billing periods unless canceled. The Customer may cancel at any time; cancellation is effective at the end of the then-current billing period, and access continues through that date. Taxes may be added where required. We will give reasonable advance notice of price changes.
6. Refund policy
Monthly subscription fees are non-refundable, including for unused time or removed seats, except where required by law. Customers enrolled in the Founding Dealer promotion may request its 90-day satisfaction refund under the promotion’s terms; the refund is limited to the last month’s fee. 7. Customer data
The Customer owns its recordings, transcripts, and other content submitted to or generated from its use of the Service (“Customer Data”). The Customer grants Noetra a worldwide, non-exclusive license to host, copy, transmit, transform, and otherwise process Customer Data only as needed to operate, secure, support, and provide the Service. Noetra may use data that has been de-identified and aggregated so it does not identify the Customer or an individual to analyze and improve the Service.
8. AI-generated guidance
Transcripts, coaching feedback, scores, summaries, and other outputs may be created by artificial intelligence and may be incomplete, inaccurate, or inappropriate. Outputs are guidance only, are not professional or legal advice, and should be reviewed using human judgment. Do not use them as the sole basis for employment, compensation, disciplinary, legal, or other consequential decisions. Noetra does not guarantee improved performance, revenue, or sales results.
9. Acceptable use
You may not use the Service to violate law or third-party rights; record without required consent; upload content you lack authority to process; harass, discriminate, surveil unlawfully, or cause harm; distribute malware; probe or disrupt security; bypass usage limits; scrape the Service; reverse engineer it except where law permits; impersonate others; or resell or sublicense access without written permission. You may not use output to make unlawful discriminatory decisions.
10. Noetra intellectual property
Noetra and its licensors own the Service, software, branding, documentation, and all related intellectual property other than Customer Data. Subject to these Terms and payment of fees, Noetra grants the Customer a limited, non-exclusive, non-transferable, revocable right to use the Service for its internal business purposes during the subscription.
11. Suspension and termination
The Customer may cancel as described above. Noetra may suspend or terminate access for nonpayment, a material breach, unlawful use, security risk, or where required by law. When the agreement ends, the right to use the Service ends, except for access continuing through a paid cancellation period. Data handling after closure is described in the Privacy Policy. Provisions that by nature should survive will survive, including payment, ownership, disclaimers, liability, indemnity, and dispute terms.
12. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available.” Noetra disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. Nothing in these Terms excludes warranties that cannot legally be excluded.
13. Limitation of liability
To the maximum extent permitted by law, Noetra will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, opportunities, or data. Noetra’s total aggregate liability arising out of or relating to the Service or these Terms will not exceed the fees the Customer paid Noetra during the 12 months immediately before the event giving rise to the claim. These limitations apply regardless of the theory of liability and do not limit liability that cannot legally be limited.
14. Indemnification
The Customer will defend, indemnify, and hold harmless Noetra and its officers, directors, employees, and agents from third-party claims, losses, liabilities, damages, and reasonable costs arising from Customer Data, the Customer’s use of the Service, violation of these Terms or law, or failure to obtain recording consent. Noetra will promptly notify the Customer and reasonably cooperate, and the Customer may not settle a claim in a way that admits fault by or imposes obligations on Noetra without written consent.
15. Nevada law; arbitration; class-action waiver
These Terms are governed by Nevada law, without regard to conflict-of-law rules. Before filing a claim, each party will give written notice and attempt in good faith to resolve the dispute for 30 days. Except for eligible small-claims matters or requests for injunctive relief concerning intellectual property or unauthorized access, any dispute will be resolved by binding individual arbitration under the Federal Arbitration Act and the applicable rules of the American Arbitration Association. Arbitration may occur remotely or in Clark County, Nevada.
Claims may be brought only in an individual capacity, not as a plaintiff or class member in a class, collective, consolidated, or representative action. Each party waives any right to a jury trial to the extent permitted by law. If the class-action waiver is found unenforceable for a particular claim, that claim must proceed in the state or federal courts in Clark County, Nevada.
16. Changes to these Terms
We may update these Terms. We will provide notice of material changes by email, an in-Service message, or another reasonable method before they take effect. The notice will state the effective date. Continued use after that date means acceptance; if the Customer does not agree, it must stop using and cancel the Service.
